Terms of Service

1. Acceptance of Terms

By creating an account or using the PopLayers service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including those on a free trial and paid subscribers.

2. Description of Service

PopLayers is a software-as-a-service platform that allows you to create, manage, and publish popup and banner campaigns on your websites via an embed script. Features, pricing, and availability may change at any time with reasonable notice.

3. Account Registration

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@poplayers.com if you suspect unauthorized access.

You must be at least 18 years old to use the Service. By creating an account you represent that you meet this requirement.

4. Free Trial

New accounts receive a 14-day free trial with full access to the Service. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue the free trial offer at any time.

5. Subscriptions and Payment

Paid subscriptions are billed in advance on a monthly or annual basis. All payments are processed by Stripe. By subscribing you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation. You may cancel your subscription at any time from your account settings or by contacting us at support@poplayers.com. Cancellation takes effect at the end of the current billing period — you retain full access to the Service and your campaigns continue running until that date. After the period ends, your campaigns are paused and your account data is retained for 30 days before deletion. We do not offer refunds for partial billing periods.

Trial cancellation. If you cancel during your free trial, access ends immediately and no charge is made.

Price changes. We will notify you of any price changes by email to your registered account address at least 30 days before the change takes effect. If you do not agree to the new price, you may cancel your subscription before the change takes effect and you will not be charged the new rate. Continuing to use the Service after a price change takes effect constitutes acceptance of the new price.

6. Acceptable Use

You agree not to use the Service to:

• Display content that is unlawful, deceptive, harassing, defamatory, or that infringes any third-party rights
• Distribute malware, phishing pages, or any malicious code
• Collect personal information from visitors without proper disclosure and consent
• Violate any applicable laws or regulations, including those relating to spam, privacy, or consumer protection
• Attempt to gain unauthorized access to the Service or its related systems
• Resell or sublicense access to the Service without written permission

We reserve the right to suspend or terminate accounts that violate these rules. For serious violations (malware, phishing, illegal content) we may act immediately and without prior notice. For other violations we will generally attempt to notify you by email before taking action.

Appeals. If your account is suspended and you believe this was in error, you may appeal by emailing support@poplayers.com with the subject line Account Appeal. We will review your appeal and respond within 7 business days.

7. Your Content

You retain ownership of all content you create within PopLayers, including campaign text, images, and configurations ("Your Content"). By using the Service you grant PopLayers a limited license to store, display, and deliver Your Content solely for the purpose of operating the Service on your behalf.

You are solely responsible for ensuring Your Content complies with applicable laws and does not infringe third-party rights. We do not review campaign content before it goes live.

8. Embed Script and End-User Data

The PopLayers embed script is delivered to your website visitors to display the campaigns you create. When campaigns run, PopLayers records anonymised engagement events (impressions, clicks, and dismissals) linked to campaign IDs and timestamps. This data is made available to you as performance analytics. PopLayers does not collect personally identifiable information — such as names, email addresses, or IP addresses — from your visitors.

As the operator of your website, you are the data controller for your visitors. You are solely responsible for:

• Disclosing the use of PopLayers and its campaign analytics in your website's privacy policy
• Obtaining any visitor consent required by applicable law (including GDPR, CCPA, and similar regulations) before activating campaigns
• Ensuring your use of PopLayers on your website complies with all laws applicable to you and your visitors

PopLayers shall not be liable for any failure by you to meet these obligations. We reserve the right to suspend campaigns on websites where we have reason to believe applicable laws are being violated.

9. Intellectual Property

The PopLayers name, logo, software, and all related materials are the exclusive property of PopLayers and its licensors. Nothing in these Terms grants you any right to use our trademarks, trade names, or other brand features without our prior written consent.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We are not responsible for any loss of data or revenue resulting from use of or inability to use the Service.

11. Limitation of Liability

To the fullest extent permitted by law, PopLayers and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

You may close your account at any time by contacting us at support@poplayers.com or through your account settings. Upon termination, your campaigns will stop being served and your data will be deleted within 30 days, except where retention is required by law.

We may suspend or terminate your account at any time if we believe you have violated these Terms, with or without notice. In cases of serious violations we may terminate immediately and without refund.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by email or by posting a notice in the dashboard. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the applicable courts of the United States.
